Terms and Conditions of Use: Pro Membership

By checking the box next to this Terms and Conditions of Use, and clicking the “Purchase” button, you, the purchaser of a subscription to the Membership Site entitled The Deal Dynamics Membership, (hereinafter “Client”) acknowledge the terms as outlined herein, and agree and willingly purchase entry into The Deal Dynamics Membership to be provided with services rendered by Deal Dynamics Consulting (hereinafter “DDC”), and you agree you are voluntarily entering into a legally binding Agreement, including the automatic renewal terms, with DDC, inclusive of the following terms and conditions mutually agreed upon:

For good and valuable consideration of one hundred and ninety-seven U.S. dollars ($197) Client has agreed to purchase a monthly subscription to The Deal Dynamics Membership. Promotional terms may apply and are outlined on the checkout page during these promotional periods. If Client was gifted a membership, he/she/they confirm this agreement still represents a bargained-for exchange, and understand they are legally bound to this Agreement. In exchange, DDC agrees to provide the services outlined in the Deal Dynamics Membership Site Details below, and Membership Site Addendum attached hereto:

1. MEMBERSHIP SITE OUTLINE:
  • Client agrees and understands that he/she is purchasing a subscription to The Deal Dynamics Pro Membership, offering educational resources, question and answer calls, and a community of like-minded entrepreneurs.
  •  Client acknowledges that he/she has read the Membership Site Addendum and conducted any additional research necessary to feel he/she understands what is being provided in The
    Deal Dynamics Pro Membership as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this Agreement and on DDC’s website.
  •  The Deal Dynamics Pro Membership is not to be considered a substitute for personalized business, or legal advice. The Deal Dynamics Pro Membership is not designed to guarantee you a successful closed deal that you profit from by making decisions for you, but to give you the tools you need to educate yourself to close deals like a Pro would. If you as the Client believe you may be in need of personalized attention, whether for your business, legal, or otherwise, please seek additional assistance outside The Deal Dynamics Pro Membership.
2. PROMOTIONS AND BONUSES:
  • DDC may offer promotions, bonuses, or other offers from time to time in connection with The Deal Dynamics Pro Membership, promoting one or more aspects of The Deal Dynamics Pro Membership, or offering new or current members additional offers in exchange for upgrading to the annual Master Membership, or taking any other action as decided by DDC. Any promotion which offers new or additional products or services may include additional terms and conditions that must be agreed to prior to becoming eligible for any such promotion or offering. Should Client enter into The Deal Dynamics Pro Membership as a new member through any such promotion, bonus, or other offering, such Client will agree to these Terms of Use, as well as any additional terms and conditions associated with the promotion or bonus.
  • DDC also reserves the right to increase or decrease the price of The Deal Dynamics Pro Membership for future launches, and/or edit the deliverables, and that the price for current members may increase in the future, in the sole and absolute discretion of DDC.
3. CONFIDENTIALITY
  • Client understands he or she is purchasing a subscription to The Deal Dynamics Pro Membership with DDC. Following Client's purchase and access to The Deal Dynamics Pro Membership, Client will have gained access to various trade secrets and personal intellectual property of DDC, including but not limited to materials such as verbal, written, and video advice, mindset guidance, and/or other information that may become available for use through Client's participation in The Deal Dynamics Pro Membership. Client understands and acknowledges that this information is not to be openly shared with others who have not purchased a membership to The Deal Dynamics Pro Membership. Client agrees not to share, copy, or distribute any documents or other proprietary information obtained through The Deal Dynamics Pro Membership, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the Content outlined as his/her own material, or repurposes and uses the Content in his/her own business without express written permission of DDC.
  • Should Client breach this provision and disclose confidential or proprietary information belonging to DDC or another participating in The Deal Dynamics Pro Membership, Client understands additional action may be taken by DDC up to and including legal action.
4. TESTIMONIALS
  • DDC may request Client provide a testimonial to be published on DDC's website, or on various sales materials for The Deal Dynamics Pro Membership or another Program created by DDC. Client understands that he or she is not required to give any testimony, and understands that the choice to do so is freely up to Client. There will be no ramifications or change in relationship between DDC and Client if Client refuses testimonial.
  •  If Client accepts and provides DDC with a testimonial, Client understands the material, along with a photo of Client, will likely be published on DDC's website or otherwise. Should Client agree to provide a testimonial, Client will agree to review and sign an additional Release, confirming the same, and confirming DDC's rights to use Client's testimonial. No payment or additional services will be provided in return for Testimonial, and Client understands he or she is granting DDC an unlimited, irrevocable license in perpetuity to use, publish, distribute, or repurpose any information provided to DDC as part of a Testimonial.
  • Client gives DDC an unlimited, irrevocable license to repost, share, publish, and otherwise use the text, name, and/or likeness of Client which client voluntarily posts to social media or sends in via email, including but not limited to Deal Dynamics Consulting Facebook group, DDC Facebook Page, Instagram comments, Instagram DMs to DDC, Tiffany Tavernier or Scott Hartman, and Twitter comments. Client understands and agrees any such comments or messages sent or posted by Client may be captured and reposted by DDC in any capacity it sees fit, including but not limited to sharing in email marketing, reposting to the public on social media, and otherwise sharing the comment with the public in an effort to publicize and market for The Deal Dynamics Pro Membership.
  • If Client applies for a Q&A Call with DDC, he or she understands there is no guarantee of winning a session with DDC, and Client is freely giving DDC permission to use any content contained in the application as a testimonial for The Deal Dynamics Pro Membership, or otherwise, without any additional compensation owed.
5. PAYMENT AND PAYMENT PLANS
  • Client understands the cost of The Deal Dynamics Pro Membership is payable monthly, in the amount of one hundred and ninety-seven U.S. dollars ($197), and charged automatically monthly, in accordance with the Auto-Renewal Terms outlined below. Client understands he/she is responsible for the full payment each month, and agrees to pay the sum requested electronically, via DDC's website or a designated third-party payment processor of DDC's choosing, in full. If Client has joined The Deal Dynamics Pro Membership during a promotional period and has been promised a trial period that is less than the amount outlined above, Client understands that after such trial period, Client will be charged the regular retail cost, for a monthly membership.
  •  Should Client fail to make timely payments, or if additional payments are not able to be processed, Client understands Client's access to The Deal Dynamics Pro Membership may be restricted if payment is not made within 1 day of the date it is due. If payment is not made on the date it is due, DDC will continue to attempt to charge Client via the membership site software; if and when payment goes through, Client will again receive full access to the membership site. If payment is not collected, Client's access will remain restricted, and Client will carry a balance on his/her account, showing the months) owed. Client must bring her account completely current in order to be granted access. If payment continues to be unsuccessful after sixty (60) days, Client membership shall be revoked and permanently cancelled. Should Client wish to rejoin The Deal Dynamics Pro Membership, after this period, he/she must do so at the current price membership is being offered, which DDC reserves the right to increase at any time for future launches of The Deal Dynamics Pro Membership..
  • DDC reserves the right to cancel Client's access to The Deal Dynamics Pro Membership should he/she fail to make additional payments in accordance with the Auto-Renewal Terms as outlined below. Should this occur, Client understands he/she is not entitled to a refund of funds already issued to DDC for access to The Deal Dynamics Pro Membership.
  • GIFTED MEMBERSHIPS. From time to time, DDC may offer current clients the opportunity to gift an annual membership to The Deal Dynamics Membership. If Client elects to gift a membership, he/she/they understand that agreement to these Terms of Use will apply to their gifted membership as well, regarding payment, refunds, and the terms and conditions outlined in this section 4(e).
    • All gifted memberships will be sold as final sale, with no refunds available once purchase has been completed.
    • Client may only gift an annual membership; monthly memberships will not be available to gift.
    • Client MUST gift the membership within twelve (12) months of the date of purchase, or he/she/they will lose the gifted membership, and will not receive a refund.
    • Client will not be automatically billed or charged for the gifted membership, only his/her/their own membership.
  • RECIPIENTS OF GIFTED MEMBERSHIPS. If you as the client are the recipient of a gifted membership to The Deal Dynamics Membership, you understand and agree to these Terms of Use in full, and specifically the foregoing:
    • Client will have twelve (12) months from the date of receipt to activate and begin using your membership to The Deal Dynamics Membership, or it will be deactivated, and no longer available for use.
    • Client will receive notification via email of their gifted membership, and must create an account in order to activate a membership into The Deal Dynamics Membership, which includes providing DDC with a credit card to keep on file for future automatic billing.
    • Following the term of the gifted membership, the client's card will be charged the current annual membership rate. If Client wishes to cancel the membership or update his/her/their membership to monthly, Client may do so by contacting DDC at [email protected] and follow the cancelation instructions below
    • By creating an account and using The Deal Dynamics Membership, you as the Client confirm you have read and agree to these Terms of Use in full. By continuing to use The Deal Dynamics Membership, you continue to agree to these Terms of Use in their most updated form.
6. AUTO-RENEWAL AGREEMENT
  • Client understands and agrees that continued access to The Deal Dynamics Pro Membership requires recurring monthly payments that will be made by Client on the day of the month on which they signed up. (For example, if Client joins The Deal Dynamics Pro Membership on the 5th of the month via monthly membership, they will continue to be charged on the 5th of every month thereafter.)
  • If Client elects to be charged monthly: by purchasing access to The Deal Dynamic Pro membership, and agreeing to these Terms of Use, Client understands he/she will be automatically charged each month via the same card or manner in which the initial payment was made, for the following month of membership to The Deal Dynamic Pro Membership. This process will repeat each month unless and until Client properly cancels his or her membership. 
  • CANCELLATION POLICY: If Client wishes to cancel his or her membership, Client must do so more than 24 hours before the charge is scheduled to withdraw. Any requests for cancellation made less than 24 hours before the automatic renewal is scheduled to charge Client's card, or made subsequent to the charge, will take effect the following month.
    • HOW TO CANCEL: In order to cancel a membership, Client must send an e-mail to [email protected] with the subject line MEMBERSHIP CANCELATION, including the Client's name, email address, and confirmation of request to terminate his or her membership. Client will be notified upon DDC's receipt of email, and his or her membership will subsequently be canceled prior to the following billing period, assuming it is more than 24 hours away.
    • As outlined above, if Client cancels his or her membership less than 24 hours before the automatic renewal is scheduled to charge Client's card, Client acknowledges and agrees he or she will be charged for the next month, and the cancellation will take effect following this. Should this occur, Client will have access to The Deal Dynamics Pro Membership for the month in which Client paid, with membership terminating at the end of the last paid month.
  • If Client purchased access to The Deal Dynamics Pro Membership during a period in which a free months, or trial period was granted, Client understands he or she will be automatically charged the full monthly amount following the end of the trial period. Client will not be given any additional notice regarding the end of the trial period, By checking the box on the purchase page confirming your agreement to these Terms, you also confirm you are given your unequivocal, clear, affirmative consent to your agreement with these automatic renewal terms, the cancelation policy, and that you understand how to cancel before your card is charged for the following month.
  • BILLING ADDRESS: Client agrees to keep its billing address updated within Client's Deal Dynamics Pro Membership account, and understands DDC will use this address to determine Client's state of residence and applicable laws that may apply to Client based upon his/her/their state of residence. Any failure by Client to keep such address updated may impact DDC's ability to provide Client with accurate billing updates and notices. Client understands this, and to the fullest extent permitted by law, acknowledges that it will be Client's responsibility to notify DDC of any changes to his/her/their billing address, and represents that the billing address listed within Membership shall be the most updated and accurate address for Client, and the state of residency for Client. To the extent Client's physical residency is different from his/her/their billing address, Client confirms he/she/they will notify DDC of same, to ensure DDC always has Client’s most current address.
7. REFUND POLICY

DDC wholly believes in its product. It believes the Playbooks work, but only if the Client is dedicated to the process. Nevertheless, DDC offers a Conditional 30-Day Money-Back Guarantee (the Guarantee) for first-time purchasers of the Program if Client has completed the work to date, and does not believe the Program is suitable for Client.

To request consideration for the Guarantee, Client must contact DDC at [email protected] prior to 11:59 pm PST on the thirtieth day after Client purchased the Deal Dynamics Pro Membership. Following this thirty (30) day window, all sales will be considered final, and DDC will not issue refunds for any reason.

In this email, Client must provide (1) the email address he/she used to purchase, and (2) copies of all completed work and proof of implementation inside their business (3) proof of attendance on the 2 live coaching calls (or Loom recording of you watching the replay) to demonstrate you gave the Membership a good faith effort.

Any and all requests for consideration of the Guarantee will be decided by the DDC team and within DDC’s sole and exclusive discretion. The intention of the Guarantee is to allow Client to give a good faith effort to apply the Playbook to their business. If Client simply logs in, downloads materials, and promptly asks for a refund, DDC reserves the right to deny it without further consideration.

 

If a refund is granted, Client can expect reimbursement thirty (30) days after cancellation of Membership in the same manner in which payment was made. If a refund is not granted, Client understands he/she remains financially responsible for payment in full of Membership, and as long as Client has received theMembership curriculum appropriate to their purchase, Client has no further recourse regarding refunds. Client understands he/she will forfeit any and all access to Membership and benefits if a refund is issued.

 

8. ONE-ON-ONE COACHING UPSELL TERMS
  • Additional 1:1 Coaching Sessions: Clients may opt for 1:1 coaching sessions alongside their participation in the Deal Dynamics Pro Membership. This upsell provides four (4) 45-minute sessions within the membership period, focusing on accountability, strategy implementation, and enhancing business outcomes. 
  • Scheduling and Cancellation: Clients are responsible for scheduling their sessions within the membership period using the provided scheduling link. Failure to schedule within this timeframe results in forfeiture of remaining sessions. Sessions canceled with less than 24 hours' notice are forfeited and will not be rescheduled.
  • Payment and Refund Policy: The fee for the additional coaching sessions is $2,000, payable before the sessions begin. Clients may request a refund after the first session, subject to a $500 cancellation fee. Refund requests must be submitted within 24 hours after the first session. Beyond this point, no refunds will be issued. Prices can change at any time.
9. SPECIFIED GROUP CALL UPSELL TERMS
  • Additional Specified Group Calls: Clients may opt for additional Specified Group Calls alongside their participation in the Deal Dynamics Pro Membership.
  • Scheduling and Cancellation: Clients are responsible for scheduling their sessions within the membership period using the provided scheduling link. Failure to schedule within this timeframe results in forfeiture of remaining sessions. Sessions canceled with less than 24 hours' notice are forfeited and will not be rescheduled.
  • Payment and Refund Policy: The fee for each Specified Group Call is  $150, payable at registration for the call. There are no refunds offered at this time for a call, if you need to reschedule and do so before the 24 hours’ notice you will be able to do so.  Prices can change at any time.

 

8. TECHNOLOGY
  • DDC is not responsible for any specific technology you may need in order to adequately view and utilize The Deal Dynamics Pro Membership.
  • Client's inability to access The Deal Dynamics Pro membership due to a technology issue on Client's end does not qualify Client for a refund, nor does it alleviate Client of his or her responsibility to make monthly payments, unless or until Client's membership is properly canceled in accordance with the cancelation policy in paragraph five (5).
  • DDC discourages sharing membership accounts, and encourages every individual to purchase their own Deal Dynamics Membership account. However, if business partners decide to share an account, only one individual will be granted access and emails will be sent to one email address only.
9. VOLUNTARY PARTICIPATION
  • Client understands and agrees that he/she is voluntarily choosing to sign up for The Deal Dynamics Pro Membership and is solely responsible for any outcomes or results. While DDC believes in the services and that The Deal Dynamics Pro Membership is able to help many business owners and entrepreneurs, Client acknowledges and agrees that DDC is not responsible nor liable to Client should Client sustain any injuries, incur harm, or encounter any negative ramifications. Client agrees that he/she is fully responsible for his/her health, wealth and well- being, including participation in The Deal Dynamic Pro Membership and any results therein.
  • Client also understands she will have the opportunity to provide DDC with additional personal information, viewable to all The Deal Dynamic Membership members, including but not limited to location, industry, and other information. All information is completely voluntary and optional to complete, and Client does not gain or lose anything in The Deal Dynamic Membership for choosing to complete or not complete the additional information. Client understands this information will only be viewable to others inside the The Deal Dynamics Membership, and understands that should he/she elect to complete the information, he/she is doing so completely voluntarily, and that The Deal Dynamic Membership and DDC are not responsible for any negative results from such information dissemination.
 
10. DISCLAIMER /NO GUARANTEES

 

  • While many of DDC's past and current clients have experienced wonderful benefits from the content contained in The Deal Dynamics Membership, DDC cannot guarantee results from any of the content on The Deal Dynamics Membership, and cannot make any representations or guarantees regarding individual results. Client will hold DDC harmless if he or she does not experience the desired results.
  • Client understands that all services provided by The Deal Dynamics Pro Membership and DDC in connection with The Deal Dynamics Pro Membership being purchased are provided on an "as is" basis, meaning it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, success for a particular purpose, merchantability, or expectation or course of performance. Client is choosing to purchase access to The Deal Dynamics Pro Membership and work with DDC on a purely voluntary basis and does not hold DDC or The Deal Dynamics Pro Membership responsible should Client become dissatisfied with any portion of The Deal Dynamics Pro Membership.
  • Client agrees that he/she does not have a cause of action, legal remedy, and is not entitled to a refund should he/she not achieve the results desired following completion of The Deal Dynamics Pro Membership, as long as DDC delivers The Deal Dynamics Pro Membership as described in the Addendum below.
  • Client also agrees to hold DDC harmless should any physical, emotional, or financial injury occur as a direct or indirect result of The Deal Dynamics Pro Membership. The content provided by DDC on its website and within The Deal Dynamics Pro Membership is information that has worked for DDC Founders and other clients, and may or may not be useful to Client in his/her personal business or life. Client understands DDC cannot guarantee results from this The Deal Dynamics Pro Membership, and has no expectation of a specific result that he or she holds DDC responsible for.
  • Earnings Disclaimer: DDC also does not make any guarantees or assurances regarding a particular financial outcome based on use of The Deal Dynamics Pro Membership, nor is DDC responsible for Client earnings, or any increase or decrease in finances based upon information within The Deal Dynamics Pro Membership. Any information or testimonials regarding past or current clients' participation in playbooks, or working with DDC contained on Website or in sales material that contain financial information are individual, and results may vary.
  • Not Legal or Professional Advice: The purpose and goal of The Deal Dynamics Pro Membership is to provide Client with monthly education and assistance. The Deal Dynamics Pro Membership and content contained within The Deal Dynamics Pro Membership is not to be considered personalized business, medical, legal, or financial advice, and nothing within The Deal Dynamics Pro Membership is intended to provide or act as a substitute for a Lawyer, CPA, or Broker. DDC encourages Client to consult the relevant professional needed if he/she suspects he/she may benefit from such services. We will assume that all individuals choosing to purchase access to The Deal Dynamics Pro Membership will have done any additional research necessary and has concluded that The Deal Dynamics Pro Membership offered is right for them.
11.   DDC’s "RECOMMENDATION" SECTION
  • Within The Deal Dynamics Pro Membership, Clients have or will have in the future access to a "Recommendations" page that includes offerings, deals, and coupon codes for some of DDC's favorite banks, brokers, companies or brands. Client understands that DDC is not responsible nor liable should Client elect to utilize any products or services within the "Recommendation" section of The Deal Dynamics Pro Membership, and any such decision to do so is wholly voluntary and outside the scope of The Deal Dynamics Pro Membership. The Recommendation section is no more than a recommendations list of businesses, products and services DDC likes and/or uses, which may or may not be useful to members of The Deal Dynamics Pro Membership.
  • If DDC has any material relationship with any products, services, or companies (including but not limited to affiliate relationships allowing DDC to collect a commission for any products or services purchased through these links), such material relationship will be disclosed on or near the link to each Company, identifying it as an "affiliate" link. Those marked with "affiliate link" notations means DDC is an affiliate of this company, and will receive financial compensation should Client elect to purchase the product or services offered.
13. GUEST EXPERT MATERIAL

DDC Membership options will include various modules, trainings, bonuses, and other education and information from those other than DDC, including but not limited to other industry leaders, experts, and professionals. All information, resources, training, education, modules, and other opinions provided by guest experts will be solely their own, based upon their education and experience, and are not necessarily a reflection of the opinions of DDC. Client agrees to indemnify and hold DDC harmless from any and all claims relating to material or information provided by a guest expert - any issues Client may have with a guest expert must be taken up with the guest expert directly.

12. INTELLECTUAL PROPERTY
  • Client agrees and understands that DDC has created numerous original, creative works in connection with The Deal Dynamics Pro Membership, and agrees that DDC maintains all copyrights and other intellectual property rights in all original or derivative content associated with or included in The Deal Dynamics Membership, whether created prior to working with Client or specifically for Client, including but not limited to: documents, charts, emails, graphs, products, systems, processes, handouts, worksheets, playbooks, copy for website or sales pages, and any other original work created by DDC. Client agrees she may be granted a limited right to use selected materials in the course of his or her own business but understands that the original proprietary rights remain with DDC. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property from DDC to Client, nor grant any license to use the information, other than that which is expressly provided throughout the course of The Deal Dynamics Pro Membership.
  • Client agrees and understands he/she is not to copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property provided by DDC or obtained through working with DDC, without DDC's express written consent. If such behavior is discovered or suspected, DDC reserves the right to immediately end Client's participation in The Deal Dynamics Pro Membership without refund, as well as access to any The Deal Dynamics Pro Membership or materials Client may have purchased, without refund, and reserve the right to prosecute any actionable infringement or misuse to the full extent of the law.
  • Licensee Rights: DDC's Limited License to Client: Client understands that in purchasing The Deal Dynamics Pro Membership, she/he is gaining access to view all content and information available as part of The Deal Dynamics Pro Membership. Client understands this means he/she will have been granted a limited, revocable, non-transferable license to use the information provided as instructed or allowed by DDC. As a "Licensee," Client understands and agrees that Client will not:
    • Copy, edit, distribute, duplicate or steal any information or any Content obtained through The Deal Dynamics Pro Membership without written permission by DDC;
    • Post, distribute, copy, steal or otherwise use any portion of the The Deal Dynamics Pro Membership or its content, or information obtained via other members in the group The Deal Dynamics Pro Membership without written permission by DDC, and understand that any such use may constitute infringement, which may give rise to a cause of action against Client
    • Claim any content created by DDC as part of The Deal Dynamics Pro Membership or otherwise given to Client is his/her own, meaning he/she cannot claim any content created by DDC was Client's work, and use in his/her business as his/her own.
    • Share purchased materials, information, content with others who have not purchased them
    • Client further acknowledges and understands that any such actions including but not limited to those outlined above will likely constitute infringement and/or theft of our work, and a violation of this Agreement and United States Federal laws.
13. INDEMNIFICATION

Client agrees at all times to defend, fully indemnify and hold DDC and any affiliates, agents, professional speakers, team members or other party associated with DDC harmless from any causes of action, damages, losses, costs, expenses incurred as a result of Client's use of The Deal Dynamics Pro Membership, as well as any third-party claims of any kind (including attorney's fees) arising from his/her actions as a direct or indirect result of Client's participation in The Deal Dynamics Pro Membership. Should DDC be required to defend itself in any action directly or indirectly involving Client, or an action where we decide Client's participation or assistance would benefit DDC's defense, Client agrees to participate and provide any evidence, documents, testimony, or other information deemed useful by DDC, free of charge

 
14. DISPUTE RESOLUTION
  • Should a dispute arise between DDC and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a "dispute" and agrees he or she does not hold DDC responsible for any specific results, or those results which have been achieved by other clients of DDC.)
  • If unable to reach a resolution informally, Client and DDC agree that all disputes will be submitted for Arbitration in accordance with the Texas Arbitration Act (TAA), to be completed in Dallas, Texas within a reasonable amount of time. Client and DDC agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the arbitrator is to be final and binding on both parties, and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgement of law or decree.
15. APPLICABLE LAW

This Agreement shall be governed by and under control of the laws of Texas regardless of conflict of law principles, and regardless of location of Client. Client understands this and agrees that the laws of Texas are to be applicable here.

16. AMENDMENTS

This agreement may be amended or modified from time to time, as The Deal Dynamics Pro Membership is updated, laws or regulations change, or as desired by DDC. Client understands and agrees that he/she will abide by the most recent version of these Terms and Conditions of Use, and will check back periodically as needed. Should DDC make any large changes to these Terms and Conditions of Use, you as the Client will be notified, and given an opportunity to cancel your membership should you refuse to agree to the updated Terms and Conditions. Otherwise, your continued membership in The Deal Dynamics Pro Membership will serve as confirmation of your agreement to the updated terms.

 

17. AUTHORIZATION + RELEASE

By participating in the Membership, you acknowledge that your involvement may be recorded in various forms such as audio, video, or images. You grant DDC and its representatives the right to use these recordings worldwide and indefinitely for promotional purposes, without any further compensation to you. This includes the right to modify the recordings as deemed necessary.

You confirm that any statements or endorsements you make are truthful and represent your genuine opinions and experiences. You waive any rights to review or approve the recordings and release DDC from any liability arising from their use.

You affirm that you are at least eighteen years old and legally competent to enter into this agreement. This release applies to you, your heirs, and assigns. By agreeing to these terms, you acknowledge that your participation is voluntary and that you are solely responsible for your actions.

 THE DEAL DYNAMICS PRO MEMBERSHIP OUTLINE ADDENDUM

Client understands, acknowledges, and agrees he/she is purchasing a monthly subscription to The Deal Dynamics Pro Membership. While the below is subject to change, at the time of purchase, The Deal Dynamics Pro Membership includes access to the following:

  • The Deal Dynamics Pro Membership, including all content and resources that have been created for the Pro Membership Library, access to the Master Library for additional purchases if you choose.
  • Buyer and Seller Playbook to Success in Written and Videos
  • A minimum of two (2) Live Calls a month, some months will have more. If you can not participate Live they will be recorded and available at all times after.
  • Access to an exclusive online community only for The Deal Dynamics Membership members
  • Access to purchase Specified Group Topic calls and One-on-One Coaching



If at any time Client is found to be disruptive, making disparaging or defamatory comments about The Deal Dynamic Membership, DDC, Scott Hartman or Tiffany Tavernier, or otherwise negatively impacting The Membership for others and hindering or distracting other Clients from their own success, DDC reserves the right to remove such Client, without refund. Client understands this, and knows this is a risk if he/she elects to act in such an inappropriate manner. Client agrees this is a suitable remedy and action should he/she act in any of the ways outlined above.

 

Terms and Conditions of Use: Master Membership

 

By electing to join The Deal Dynamics Master Membership (whether through purchasing online, or opting in via the early bird option) you, the purchaser of a subscription to the DDC Members only site entitled, The Deal Dynamics Master Membership (hereinafter “Client”) acknowledge the terms as outlined herein, and agree and willingly purchase entry into The Deal Dynamics Master Membership, to be provided with services rendered by Deal Dynamics Consulting (hereinafter “DDC”), and you agree you are voluntarily entering into a legally binding Agreement, including the automatic renewal terms, with DDC, inclusive of the following terms and conditions mutually agreed upon:

For good and valuable consideration of one thousand, nine hundred and ninety-seven U.S. dollars ($1997) paid upfront, Client is electing to pre-purchase an annual subscription to The Deal Dynamics Master Membership. In exchange, DDC agrees to provide the services outlined in The Deal Dynamics Master Membership details below, and The Deal Dynamics Master Membership Addendum attached hereto.

 

1. MEMBERSHIP SITE OUTLINE:
  • Client agrees and understands that he/she is pre- purchasing a subscription to The Deal Dynamics Master Membership, offering educational resources, question and answer calls, twelve (12) specified topic group calls and a community of like-minded entrepreneurs.
  •  Client acknowledges that he/she has read the Membership Site Addendum and conducted any additional research necessary to feel he/she understands what is being provided in The
    Deal Dynamics Master Membership as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this Agreement and on DDC’s website.
  •  The Deal Dynamics Master Membership is not to be considered a substitute for personalized business, or legal advice. The Deal Dynamics Master Membership is not designed to guarantee you a successful closed deal that you profit from by making decisions for you, but to give you the tools you need to educate yourself to close deals like a Pro would. If you as the Client believe you may be in need of personalized attention, whether for your business, legal, or otherwise, please seek additional assistance outside The Deal Dynamics Master Membership.
2. PROMOTIONS AND BONUSES:
  • Client understands and agrees he/she is pre-purchasing access to The Deal Dynamics Master Membership by purchasing an annual membership upfront, inclusive of DDC bonuses, access to program, and other incentives as outlined on the sales page herein. Once a Client has access to The Deal Dynamics Master Membership, he/she will redeem his/her membership by utilizing a coupon code granted by DDC, to unlock the Membership and one (1) year of access. Following this promotional period, Client will be charged for an additional one (1) year of Membership, unless properly canceled as outlined herein.
  • DDC also reserves the right to increase or decrease the price of The Deal Dynamics Master Membership for future launches, and/or edit the deliverables, and that the price for current members may increase in the future, in the sole and absolute discretion of DDC.
3. CONFIDENTIALITY
  • Client understands he or she is purchasing a subscription to The Deal Dynamics Master Membership with DDC. Following Client's purchase and access to The Deal Dynamics Master Membership, Client will have gained access to various trade secrets and personal intellectual property of DDC, including but not limited to materials such as verbal, written, and video advice, mindset guidance, and/or other information that may become available for use through Client's participation in The Deal Dynamics Master Membership. Client understands and acknowledges that this information is not to be openly shared with others who have not purchased a membership to The Deal Dynamics Master Membership. Client agrees not to share, copy, or distribute any documents or other proprietary information obtained through The Deal Dynamics Master Membership, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the Content outlined as his/her own material, or repurposes and uses the Content in his/her own business without express written permission of DDC.
  • Should Client breach this provision and disclose confidential or proprietary information belonging to DDC or another participating in The Deal Dynamics Master Membership, Client understands additional action may be taken by DDC up to and including legal action.
4. TESTIMONIALS
  • DDC may request Client provide a testimonial to be published on DDC's website, or on various sales materials for The Deal Dynamics Master Membership or another Program created by DDC. Client understands that he or she is not required to give any testimony, and understands that the choice to do so is freely up to Client. There will be no ramifications or change in relationship between DDC and Client if Client refuses testimonial.
  •  If Client accepts and provides DDC with a testimonial, Client understands the material, along with a photo of Client, will likely be published on DDC's website or otherwise. Should Client agree to provide a testimonial, Client will agree to review and sign an additional Release, confirming the same, and confirming DDC's rights to use Client's testimonial. No payment or additional services will be provided in return for Testimonial, and Client understands he or she is granting DDC an unlimited, irrevocable license in perpetuity to use, publish, distribute, or repurpose any information provided to DDC as part of a Testimonial.
  • Client gives DDC an unlimited, irrevocable license to repost, share, publish, and otherwise use the text, name, and/or likeness of Client which client voluntarily posts to social media or sends in via email, including but not limited to DDC Facebook Page, Instagram comments, Instagram DMs to DDC, Tiffany Tavernier or Scott Hartman, and Twitter comments. Client understands and agrees any such comments or messages sent or posted by Client may be captured and reposted by DDC in any capacity it sees fit, including but not limited to sharing in email marketing, reposting to the public on social media, and otherwise sharing the comment with the public in an effort to publicize and market for The Deal Dynamics Master Membership.
  • If Client applies for a Q&A Call with DDC, he or she understands there is no guarantee of winning a session with DDC, and Client is freely giving DDC permission to use any content contained in the application as a testimonial for The Deal Dynamics Master Membership, or otherwise, without any additional compensation owed.
5. PAYMENT AND PAYMENT PLANS
  • Client understands the cost of The Deal Dynamics Master Membership is payable annually, in the amount of one thousand nine hundred and ninety-seven U.S. dollars ($1,997), and charged automatically annually, in accordance with the Auto-Renewal Terms outlined below. Client understands he/she is responsible for the full payment each year, and agrees to pay the sum requested electronically, via DDC's website or a designated third-party payment processor of DDC's choosing, in full. If Client has joined The Deal Dynamics Master Membership during a promotional period and has been promised a trial period that is less than the amount outlined above, Client understands that after such trial period, Client will be charged the regular retail cost, for an annual Master membership.
  •  Should Client fail to make timely payments, or if additional payments are not able to be processed, Client understands Client's access to The Deal Dynamics Pro Membership may be restricted if payment is not made within 1 day of the date it is due. If payment is not made on the date it is due, DDC will continue to attempt to charge Client via the membership site software; if and when payment goes through, Client will again receive full access to the membership site. If payment is not collected, Client's access will remain restricted, and Client will carry a balance on his/her account, showing the months) owed. Client must bring her account completely current in order to be granted access. If payment continues to be unsuccessful after sixty (60) days, Client membership shall be revoked and permanently cancelled. Should Client wish to rejoin The Deal Dynamics Master Membership, after this period, he/she must do so at the current price membership is being offered, which DDC reserves the right to increase at any time for future launches of The Deal Dynamics Master Membership..
  • DDC reserves the right to cancel Client's access to The Deal Dynamics Master Membership should he/she fail to make additional payments in accordance with the Auto-Renewal Terms as outlined below. Should this occur, Client understands he/she is not entitled to a refund of funds already issued to DDC for access to The Deal Dynamics Master Membership.
  • GIFTED MEMBERSHIPS. From time to time, DDC may offer current clients the opportunity to gift an annual membership to The Deal Dynamics Membership. If Client elects to gift a membership, he/she/they understand that agreement to these Terms of Use will apply to their gifted membership as well, regarding payment, refunds, and the terms and conditions outlined in this section 4(e).
    • All gifted memberships will be sold as final sale, with no refunds available once purchase has been completed.
    • Client may only gift an annual membership; monthly memberships will not be available to gift.
    • Client MUST gift the membership within twelve (12) months of the date of purchase, or he/she/they will lose the gifted membership, and will not receive a refund.
    • Client will not be automatically billed or charged for the gifted membership, only his/her/their own membership.
  • RECIPIENTS OF GIFTED MEMBERSHIPS. If you as the client are the recipient of a gifted membership to The Deal Dynamics Membership, you understand and agree to these Terms of Use in full, and specifically the foregoing:
    • Client will have twelve (12) months from the date of receipt to activate and begin using your membership to The Deal Dynamics Membership, or it will be deactivated, and no longer available for use.
    • Client will receive notification via email of their gifted membership, and must create an account in order to activate a membership into The Deal Dynamics Membership, which includes providing DDC with a credit card to keep on file for future automatic billing.
    • Following the term of the gifted membership, the client's card will be charged the current annual membership rate. If Client wishes to cancel the membership or update his/her/their membership to monthly, Client may do so by contacting DDC at [email protected] and follow the cancelation instructions below
    • By creating an account and using The Deal Dynamics Membership, you as the Client confirm you have read and agree to these Terms of Use in full. By continuing to use The Deal Dynamics Membership, you continue to agree to these Terms of Use in their most updated form.
6. AUTO-RENEWAL AGREEMENT
  • Client understands and agrees that continued access to The Deal Dynamics Master Membership requires recurring annual payments that will be made by Client on the day of and month on which they signed up. (For example, if Client joins The Deal Dynamics Master Membership on the 5th of June via annual membership, they will continue to be charged on the 5th of June every year thereafter.)
  • CANCELLATION POLICY: If Client wishes to cancel his or her membership, Client must do so more than 24 hours before the charge is scheduled to withdraw. Any requests for cancellation made less than 24 hours before the automatic renewal is scheduled to charge Client's card, or made subsequent to the charge, will take effect the following month.
    • HOW TO CANCEL: In order to cancel a membership, Client must send an e-mail to [email protected] with the subject line MEMBERSHIP CANCELATION, including the Client's name, email address, and confirmation of request to terminate his or her membership. Client will be notified upon DDC's receipt of email, and his or her membership will subsequently be canceled prior to the following billing period, assuming it is more than 24 hours away.
    • As outlined above, if Client cancels his or her membership less than 24 hours before the automatic renewal is scheduled to charge Client's card, Client acknowledges and agrees he or she will be charged for the next month, and the cancellation will take effect following this. Should this occur, Client will have access to The Deal Dynamics Master Membership for the month in which Client paid, with membership terminating at the end of the last paid month.
  • If Client purchased access to The Deal Dynamics Master Membership during a period in which a free months, or trial period was granted, Client understands he or she will be automatically charged the full annual amount following the end of the trial period. Client will not be given any additional notice regarding the end of the trial period, By checking the box on the purchase page confirming your agreement to these Terms, you also confirm you are given your unequivocal, clear, affirmative consent to your agreement with these automatic renewal terms, the cancelation policy, and that you understand how to cancel before your card is charged for the following month.
  • BILLING ADDRESS: Client agrees to keep its billing address updated within Client's Deal Dynamics Master Membership account, and understands DDC will use this address to determine Client's state of residence and applicable laws that may apply to Client based upon his/her/their state of residence. Any failure by Client to keep such address updated may impact DDC's ability to provide Client with accurate billing updates and notices. Client understands this, and to the fullest extent permitted by law, acknowledges that it will be Client's responsibility to notify DDC of any changes to his/her/their billing address, and represents that the billing address listed within Membership shall be the most updated and accurate address for Client, and the state of residency for Client. To the extent Client's physical residency is different from his/her/their billing address, Client confirms he/she/they will notify DDC of same, to ensure DDC always has Client’s most current address.
7. REFUND POLICY

DDC wholly believes in its product. It believes the Playbooks work, but only if the Client is dedicated to the process. Nevertheless, DDC offers a Conditional 30-Day Money-Back Guarantee (the Guarantee) for first-time purchasers of the Program if Client has completed the work to date, and does not believe the Program is suitable for Client.

To request consideration for the Guarantee, Client must contact DDC at [email protected] prior to 11:59 pm PST on the thirtieth day after Client purchased the Deal Dynamics Master Membership. Following this thirty (30) day window, all sales will be considered final, and DDC will not issue refunds for any reason.

In this email, Client must provide (1) the email address he/she used to purchase, and (2) copies of all completed work and proof of implementation inside their business (3) proof of attendance on the 2 live coaching calls (or Loom recording of you watching the replay) and a group call to demonstrate you gave the Membership a good faith effort.

Any and all requests for consideration of the Guarantee will be decided by the DDC team and within DDC’s sole and exclusive discretion. The intention of the Guarantee is to allow Client to give a good faith effort to apply the Playbook to their business. If Client simply logs in, downloads materials, and promptly asks for a refund, DDC reserves the right to deny it without further consideration.

 

If a refund is granted, Client can expect reimbursement thirty (30) days after cancellation of Membership in the same manner in which payment was made. If a refund is not granted, Client understands he/she remains financially responsible for payment in full of Membership, and as long as Client has received the Membership curriculum appropriate to their purchase, Client has no further recourse regarding refunds. Client understands he/she will forfeit any and all access to Membership and benefits if a refund is issued.

8. ONE-ON-ONE COACHING UPSELL TERMS
  • Additional 1:1 Coaching Sessions: Clients may opt for 1:1 coaching sessions alongside their participation in the Deal Dynamics Master Membership. This upsell provides four (4) 45-minute sessions within the annual period, focusing on accountability, strategy implementation, and enhancing business outcomes. Any one-on-one coaching sessions would be offered at a ten percent (10%) discount from current membership pricing which is subject to change at any time.
  • Scheduling and Cancellation: Clients are responsible for scheduling their sessions within the annual period using the provided scheduling link. Failure to schedule within this timeframe results in forfeiture of remaining sessions. Sessions canceled with less than 24 hours' notice are forfeited and will not be rescheduled.
  • Payment and Refund Policy: The fee for the additional coaching sessions is $2,000, payable before the sessions begin. Clients may request a refund after the first session, subject to a $500 cancellation fee. Refund requests must be submitted within 24 hours after the first session. Beyond this point, no refunds will be issued. Prices can change at any time.
9. SPECIFIED GROUP CALL UPSELL TERMS
  • The Deal Dynamics Master Membership comes with twelve (12) specified group calls to be used by Client at any time during the annual membership.
  • Additional Specified Group Calls: Clients may opt for additional Specified Group Calls alongside their participation in the Deal Dynamics Master Membership. Any additional Specified Group calls would be offered at a ten percent (10%) discount from current membership pricing which is subject to change at any time.
  • Scheduling and Cancellation: Clients are responsible for scheduling their sessions within the annual period using the provided scheduling link. Failure to schedule within this timeframe results in forfeiture of remaining sessions. Sessions canceled with less than 24 hours' notice are forfeited and will not be rescheduled.
 
10. TECHNOLOGY
  • DDC is not responsible for any specific technology you may need in order to adequately view and utilize The Deal Dynamics Master Membership.
  • Client's inability to access The Deal Dynamics Master Membership due to a technology issue on Client's end does not qualify Client for a refund, nor does it alleviate Client of his or her responsibility to make annual payments, unless or until Client's membership is properly canceled in accordance with the cancelation policy in paragraph five (5).
  • DDC discourages sharing membership accounts, and encourages every individual to purchase their own Deal Dynamics Membership account. However, if business partners decide to share an account, only one individual will be granted access and emails will be sent to one email address only.
11. VOLUNTARY PARTICIPATION
  • Client understands and agrees that he/she is voluntarily choosing to sign up for The Deal Dynamics Master Membership and is solely responsible for any outcomes or results. While DDC believes in the services and that The Deal Dynamics Master Membership is able to help many business owners and entrepreneurs, Client acknowledges and agrees that DDC is not responsible nor liable to Client should Client sustain any injuries, incur harm, or encounter any negative ramifications. Client agrees that he/she is fully responsible for his/her health, wealth and well- being, including participation in The Deal Dynamic Master Membership and any results therein.
  • Client also understands she will have the opportunity to provide DDC with additional personal information, viewable to all The Deal Dynamic Membership members, including but not limited to location, industry, and other information. All information is completely voluntary and optional to complete, and Client does not gain or lose anything in The Deal Dynamic Membership for choosing to complete or not complete the additional information. Client understands this information will only be viewable to others inside the The Deal Dynamics Membership, and understands that should he/she elect to complete the information, he/she is doing so completely voluntarily, and that The Deal Dynamic Membership and DDC are not responsible for any negative results from such information dissemination.
12. DISCLAIMER /NO GUARANTEES

 

  • While many of DDC's past and current clients have experienced wonderful benefits from the content contained in The Deal Dynamics Membership, DDC cannot guarantee results from any of the content on The Deal Dynamics Membership, and cannot make any representations or guarantees regarding individual results. Client will hold DDC harmless if he or she does not experience the desired results.
  • Client understands that all services provided by The Deal Dynamics Master Membership and DDC in connection with The Deal Dynamics Master Membership being purchased are provided on an "as is" basis, meaning it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, success for a particular purpose, merchantability, or expectation or course of performance. Client is choosing to purchase access to The Deal Dynamics Master Membership and work with DDC on a purely voluntary basis and does not hold DDC or The Deal Dynamics Master Membership responsible should Client become dissatisfied with any portion of The Deal Dynamics Master Membership.
  • Client agrees that he/she does not have a cause of action, legal remedy, and is not entitled to a refund should he/she not achieve the results desired following completion of The Deal Dynamics Master Membership, as long as DDC delivers The Deal Dynamics Master Membership as described in the Addendum below.
  • Client also agrees to hold DDC harmless should any physical, emotional, or financial injury occur as a direct or indirect result of The Deal Dynamics Master Membership. The content provided by DDC on its website and within The Deal Dynamics Master Membership is information that has worked for DDC Founders and other clients, and may or may not be useful to Client in his/her personal business or life. Client understands DDC cannot guarantee results from this The Deal Dynamics Master Membership, and has no expectation of a specific result that he or she holds DDC responsible for.
  • Earnings Disclaimer: DDC also does not make any guarantees or assurances regarding a particular financial outcome based on use of The Deal Dynamics Master Membership, nor is DDC responsible for Client earnings, or any increase or decrease in finances based upon information within The Deal Dynamics Master Membership. Any information or testimonials regarding past or current clients' participation in playbooks, or working with DDC contained on Website or in sales material that contain financial information are individual, and results may vary.
  • Not Legal or Professional Advice: The purpose and goal of The Deal Dynamics Master Membership is to provide Client with monthly education and assistance. The Deal Dynamics Master Membership and content contained within The Deal Dynamics Master Membership is not to be considered personalized business, medical, legal, or financial advice, and nothing within The Deal Dynamics Master Membership is intended to provide or act as a substitute for a Lawyer, CPA, or Broker. DDC encourages Client to consult the relevant professional needed if he/she suspects he/she may benefit from such services. We will assume that all individuals choosing to purchase access to The Deal Dynamics Master Membership will have done any additional research necessary and has concluded that The Deal Dynamics Master Membership offered is right for them.
13. GUEST EXPERT MATERIAL

DDC Membership options will include various modules, trainings, bonuses, and other education and information from those other than DDC, including but not limited to other industry leaders, experts, and professionals. All information, resources, training, education, modules, and other opinions provided by guest experts will be solely their own, based upon their education and experience, and are not necessarily a reflection of the opinions of DDC. Client agrees to indemnify and hold DDC harmless from any and all claims relating to material or information provided by a guest expert - any issues Client may have with a guest expert must be taken up with the guest expert directly.

 
14.   DDC’s "RECOMMENDATION" SECTION
  • Within The Deal Dynamics Master Membership, Clients have or will have in the future access to a "Recommendations" page that includes offerings, deals, and coupon codes for some of DDC's favorite banks, brokers, companies or brands. Client understands that DDC is not responsible nor liable should Client elect to utilize any products or services within the "Recommendation" section of The Deal Dynamics Master Membership, and any such decision to do so is wholly voluntary and outside the scope of The Deal Dynamics Master Membership. The Recommendation section is no more than a recommendations list of businesses, products and services DDC likes and/or uses, which may or may not be useful to members of The Deal Dynamics Master Membership.
  • If DDC has any material relationship with any products, services, or companies (including but not limited to affiliate relationships allowing DDC to collect a commission for any products or services purchased through these links), such material relationship will be disclosed on or near the link to each Company, identifying it as an "affiliate" link. Those marked with "affiliate link" notations means DDC is an affiliate of this company, and will receive financial compensation should Client elect to purchase the product or services offered.
15. INTELLECTUAL PROPERTY
  • Client agrees and understands that DDC has created numerous original, creative works in connection with The Deal Dynamics Master Membership, and agrees that DDC maintains all copyrights and other intellectual property rights in all original or derivative content associated with or included in The Deal Dynamics Membership, whether created prior to working with Client or specifically for Client, including but not limited to: documents, charts, emails, graphs, products, systems, processes, handouts, worksheets, playbooks, copy for website or sales pages, and any other original work created by DDC. Client agrees she may be granted a limited right to use selected materials in the course of his or her own business but understands that the original proprietary rights remain with DDC. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property from DDC to Client, nor grant any license to use the information, other than that which is expressly provided throughout the course of The Deal Dynamics Master Membership.
  • Client agrees and understands he/she is not to copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property provided by DDC or obtained through working with DDC, without DDC's express written consent. If such behavior is discovered or suspected, DDC reserves the right to immediately end Client's participation in The Deal Dynamics Master Membership without refund, as well as access to any The Deal Dynamics Master Membership or materials Client may have purchased, without refund, and reserve the right to prosecute any actionable infringement or misuse to the full extent of the law.
  • Licensee Rights: DDC's Limited License to Client: Client understands that in purchasing The Deal Dynamics Master Membership, she/he is gaining access to view all content and information available as part of The Deal Dynamics Master Membership. Client understands this means he/she will have been granted a limited, revocable, non-transferable license to use the information provided as instructed or allowed by DDC. As a "Licensee," Client understands and agrees that Client will not:
    • Copy, edit, distribute, duplicate or steal any information or any Content obtained through The Deal Dynamics Master Membership without written permission by DDC;
    • Post, distribute, copy, steal or otherwise use any portion of the The Deal Dynamics Master Membership or its content, or information obtained via other members in the group The Deal Dynamics Master Membership without written permission by DDC, and understand that any such use may constitute infringement, which may give rise to a cause of action against Client
    • Claim any content created by DDC as part of The Deal Dynamics Master Membership or otherwise given to Client is his/her own, meaning he/she cannot claim any content created by DDC was Client's work, and use in his/her business as his/her own.
    • Share purchased materials, information, content with others who have not purchased them
    • Client further acknowledges and understands that any such actions including but not limited to those outlined above will likely constitute infringement and/or theft of our work, and a violation of this Agreement and United States Federal laws.
16. INDEMNIFICATION

Client agrees at all times to defend, fully indemnify and hold DDC and any affiliates, agents, professional speakers, team members or other party associated with DDC harmless from any causes of action, damages, losses, costs, expenses incurred as a result of Client's use of The Deal Dynamics Master Membership, as well as any third-party claims of any kind (including attorney's fees) arising from his/her actions as a direct or indirect result of Client's participation in The Deal Dynamics Master Membership. Should DDC be required to defend itself in any action directly or indirectly involving Client, or an action where we decide Client's participation or assistance would benefit DDC's defense, Client agrees to participate and provide any evidence, documents, testimony, or other information deemed useful by DDC, free of charge

 
17. DISPUTE RESOLUTION
  • Should a dispute arise between DDC and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a "dispute" and agrees he or she does not hold DDC responsible for any specific results, or those results which have been achieved by other clients of DDC.)
  • If unable to reach a resolution informally, Client and DDC agree that all disputes will be submitted for Arbitration in accordance with the Texas Arbitration Act (TAA), to be completed in Dallas, Texas within a reasonable amount of time. Client and DDC agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the arbitrator is to be final and binding on both parties, and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgement of law or decree.
18. APPLICABLE LAW

This Agreement shall be governed by and under control of the laws of Texas regardless of conflict of law principles, and regardless of location of Client. Client understands this and agrees that the laws of Texas are to be applicable here.

 

19. AMENDMENTS

This agreement may be amended or modified from time to time, as The Deal Dynamics Master Membership is updated, laws or regulations change, or as desired by DDC. Client understands and agrees that he/she will abide by the most recent version of these Terms and Conditions of Use, and will check back periodically as needed. Should DDC make any large changes to these Terms and Conditions of Use, you as the Client will be notified, and given an opportunity to cancel your membership should you refuse to agree to the updated Terms and Conditions. Otherwise, your continued membership in The Deal Dynamics Master Membership will serve as confirmation of your agreement to the updated terms.

20. AUTHORIZATION + RELEASE

By participating in the Membership, you acknowledge that your involvement may be recorded in various forms such as audio, video, or images. You grant DDC and its representatives the right to use these recordings worldwide and indefinitely for promotional purposes, without any further compensation to you. This includes the right to modify the recordings as deemed necessary.

You confirm that any statements or endorsements you make are truthful and represent your genuine opinions and experiences. You waive any rights to review or approve the recordings and release DDC from any liability arising from their use.

You affirm that you are at least eighteen years old and legally competent to enter into this agreement. This release applies to you, your heirs, and assigns. By agreeing to these terms, you acknowledge that your participation is voluntary and that you are solely responsible for your actions.

 THE DEAL DYNAMICS MASTER MEMBERSHIP OUTLINE ADDENDUM

Client understands, acknowledges, and agrees he/she is purchasing an annual subscription to The Deal Dynamics Master Membership. While the below is subject to change, at the time of purchase, The Deal Dynamics Master Membership includes access to the following:

  • The Deal Dynamics Pro Membership, including all content and resources that have been created for the Pro Membership Library
  • Full Access to the Master Library
  • One (1) Master Class Webinar every thirty days
  • A minimum of two (2) Live Calls a month, some months will have more. If you can not participate Live they will be recorded and available at all times after.
  • Access to an exclusive online community only for The Deal Dynamics Membership members
  • 12 Specified Topic Group Calls to be used at any time within your annual membership. If they are not used within the annual membership period, they will only continue to be good if annual membership is renewed.
  • Access to purchase additional Specified Group Topic calls and One-on-One Coaching with a ten percent (10%) discount

 

If at any time Client is found to be disruptive, making disparaging or defamatory comments about The Deal Dynamic Membership, DDC, Scott Hartman or Tiffany Tavernier, or otherwise negatively impacting The Membership for others and hindering or distracting other Clients from their own success, DDC reserves the right to remove such Client, without refund. Client understands this, and knows this is a risk if he/she elects to act in such an inappropriate manner. Client agrees this is a suitable remedy and action should he/she act in any of the ways outlined above.

 

Terms and Conditions of Use: Elite Membership

 

By electing to join The Deal Dynamics Elite Membership (whether through purchasing online, or opting in via the early bird option) you, the purchaser of a subscription to the DDC Members only site entitled, The Deal Dynamics Elite Membership (hereinafter “Client”) acknowledge the terms as outlined herein, and agree and willingly purchase entry into The Deal Dynamics Elite Membership, to be provided with services rendered by Deal Dynamics Consulting (hereinafter “DDC”), and you agree you are voluntarily entering into a legally binding Agreement, including the automatic renewal terms, with DDC, inclusive of the following terms and conditions mutually agreed upon:

For good and valuable consideration of three thousand, nine hundred and ninety-seven U.S. dollars ($3997) paid upfront, Client is electing to pre-purchase an annual subscription to The Deal Dynamics Elite Membership. In exchange, DDC agrees to provide the services outlined in The Deal Dynamics Elite Membership details below, and The Deal Dynamics Elite Membership Addendum attached hereto.

 

1. MEMBERSHIP SITE OUTLINE:
  • Client agrees and understands that he/she is pre- purchasing a subscription to The Deal Dynamics Elite Membership, offering educational resources, question and answer calls, twenty-four (24) specified topic group calls, four (4) forty-five minute one-on-one coaching sessions and a community of like-minded entrepreneurs.
  •  Client acknowledges that he/she has read the Membership Site Addendum and conducted any additional research necessary to feel he/she understands what is being provided in The
    Deal Dynamics Elite Membership as well as what is not included. Client agrees to be bound by the terms and conditions outlined herein, as well as the general policies and procedures that can be found in this Agreement and on DDC’s website.
  •  The Deal Dynamics Elite Membership is not to be considered a substitute for personalized business, or legal advice. The Deal Dynamics Elite Membership is not designed to guarantee you a successful closed deal that you profit from by making decisions for you, but to give you the tools you need to educate yourself to close deals like a Pro would. If you as the Client believe you may be in need of personalized attention, whether for your business, legal, or otherwise, please seek additional assistance outside The Deal Dynamics Elite Membership.
2. PROMOTIONS AND BONUSES:
  • Client understands and agrees he/she is pre-purchasing access to The Deal Dynamics Elite Membership by purchasing an annual membership upfront, inclusive of DDC bonuses, access to program, and other incentives as outlined on the sales page herein. Once a Client has access to The Deal Dynamics Elite Membership, he/she will redeem his/her membership by utilizing a coupon code granted by DDC, to unlock the Membership and one (1) year of access. Following this promotional period, Client will be charged for an additional one (1) year of Membership, unless properly canceled as outlined herein.
  • DDC also reserves the right to increase or decrease the price of The Deal Dynamics Elite Membership for future launches, and/or edit the deliverables, and that the price for current members may increase in the future, in the sole and absolute discretion of DDC.
3. CONFIDENTIALITY
  • Client understands he or she is purchasing a subscription to The Deal Dynamics Elite Membership with DDC. Following Client's purchase and access to The Deal Dynamics Elite Membership, Client will have gained access to various trade secrets and personal intellectual property of DDC, including but not limited to materials such as verbal, written, and video advice, mindset guidance, and/or other information that may become available for use through Client's participation in The Deal Dynamics Elite Membership. Client understands and acknowledges that this information is not to be openly shared with others who have not purchased a membership to The Deal Dynamics Elite Membership. Client agrees not to share, copy, or distribute any documents or other proprietary information obtained through The Deal Dynamics Elite Membership, and agrees that he or she will be in violation of these Terms of Use if he or she uses any of the Content outlined as his/her own material, or repurposes and uses the Content in his/her own business without express written permission of DDC.
  • Should Client breach this provision and disclose confidential or proprietary information belonging to DDC or another participating in The Deal Dynamics Elite Membership, Client understands additional action may be taken by DDC up to and including legal action.
4. TESTIMONIALS
  • DDC may request Client provide a testimonial to be published on DDC's website, or on various sales materials for The Deal Dynamics Elite Membership or another Program created by DDC. Client understands that he or she is not required to give any testimony, and understands that the choice to do so is freely up to Client. There will be no ramifications or change in relationship between DDC and Client if Client refuses testimonial.
  •  If Client accepts and provides DDC with a testimonial, Client understands the material, along with a photo of Client, will likely be published on DDC's website or otherwise. Should Client agree to provide a testimonial, Client will agree to review and sign an additional Release, confirming the same, and confirming DDC's rights to use Client's testimonial. No payment or additional services will be provided in return for Testimonial, and Client understands he or she is granting DDC an unlimited, irrevocable license in perpetuity to use, publish, distribute, or repurpose any information provided to DDC as part of a Testimonial.
  • Client gives DDC an unlimited, irrevocable license to repost, share, publish, and otherwise use the text, name, and/or likeness of Client which client voluntarily posts to social media or sends in via email, including but not limited to DDC Facebook Page, Instagram comments, Instagram DMs to DDC, Tiffany Tavernier or Scott Hartman, and Twitter comments. Client understands and agrees any such comments or messages sent or posted by Client may be captured and reposted by DDC in any capacity it sees fit, including but not limited to sharing in email marketing, reposting to the public on social media, and otherwise sharing the comment with the public in an effort to publicize and market for The Deal Dynamics Elite Membership.
  • If Client applies for a Q&A Call with DDC, he or she understands there is no guarantee of winning a session with DDC, and Client is freely giving DDC permission to use any content contained in the application as a testimonial for The Deal Dynamics Elite Membership, or otherwise, without any additional compensation owed.
5. PAYMENT AND PAYMENT PLANS
  • Client understands the cost of The Deal Dynamics Elite Membership is payable annually, in the amount of three thousand nine hundred and ninety-seven U.S. dollars ($3,997), and charged automatically annually, in accordance with the Auto-Renewal Terms outlined below. Client understands he/she is responsible for the full payment each year, and agrees to pay the sum requested electronically, via DDC's website or a designated third-party payment processor of DDC's choosing, in full. If Client has joined The Deal Dynamics Elite Membership during a promotional period and has been promised a trial period that is less than the amount outlined above, Client understands that after such trial period, Client will be charged the regular retail cost, for an annual Elite membership.
  •  Should Client fail to make timely payments, or if additional payments are not able to be processed, Client understands Client's access to The Deal Dynamics Elite Membership may be restricted if payment is not made within 1 day of the date it is due. If payment is not made on the date it is due, DDC will continue to attempt to charge Client via the membership site software; if and when payment goes through, Client will again receive full access to the membership site. If payment is not collected, Client's access will remain restricted, and Client will carry a balance on his/her account, showing the months) owed. Client must bring her account completely current in order to be granted access. If payment continues to be unsuccessful after sixty (60) days, Client membership shall be revoked and permanently cancelled. Should Client wish to rejoin The Deal Dynamics Elite Membership, after this period, he/she must do so at the current price membership is being offered, which DDC reserves the right to increase at any time for future launches of The Deal Dynamics Elite Membership..
  • DDC reserves the right to cancel Client's access to The Deal Dynamics Elite Membership should he/she fail to make additional payments in accordance with the Auto-Renewal Terms as outlined below. Should this occur, Client understands he/she is not entitled to a refund of funds already issued to DDC for access to The Deal Dynamics Elite Membership.
  • GIFTED MEMBERSHIPS. From time to time, DDC may offer current clients the opportunity to gift an annual membership to The Deal Dynamics Membership. If Client elects to gift a membership, he/she/they understand that agreement to these Terms of Use will apply to their gifted membership as well, regarding payment, refunds, and the terms and conditions outlined in this section 4(e).
    • All gifted memberships will be sold as final sale, with no refunds available once purchase has been completed.
    • Client may only gift an annual membership; monthly memberships will not be available to gift.
    • Client MUST gift the membership within twelve (12) months of the date of purchase, or he/she/they will lose the gifted membership, and will not receive a refund.
    • Client will not be automatically billed or charged for the gifted membership, only his/her/their own membership.
  • RECIPIENTS OF GIFTED MEMBERSHIPS. If you as the client are the recipient of a gifted membership to The Deal Dynamics Membership, you understand and agree to these Terms of Use in full, and specifically the foregoing:
    • Client will have twelve (12) months from the date of receipt to activate and begin using your membership to The Deal Dynamics Membership, or it will be deactivated, and no longer available for use.
    • Client will receive notification via email of their gifted membership, and must create an account in order to activate a membership into The Deal Dynamics Membership, which includes providing DDC with a credit card to keep on file for future automatic billing.
    • Following the term of the gifted membership, the client's card will be charged the current annual membership rate. If Client wishes to cancel the membership or update his/her/their membership to monthly, Client may do so by contacting DDC at [email protected] and follow the cancelation instructions below
    • By creating an account and using The Deal Dynamics Membership, you as the Client confirm you have read and agree to these Terms of Use in full. By continuing to use The Deal Dynamics Membership, you continue to agree to these Terms of Use in their most updated form.
6. AUTO-RENEWAL AGREEMENT
  • Client understands and agrees that continued access to The Deal Dynamics Elite Membership requires recurring annual payments that will be made by Client on the day of and month on which they signed up. (For example, if Client joins The Deal Dynamics Elite Membership on the 5th of June via annual membership, they will continue to be charged on the 5th of June every year thereafter.)
  • CANCELLATION POLICY: If Client wishes to cancel his or her membership, Client must do so more than 24 hours before the charge is scheduled to withdraw. Any requests for cancellation made less than 24 hours before the automatic renewal is scheduled to charge Client's card, or made subsequent to the charge, will take effect the following month.
    • HOW TO CANCEL: In order to cancel a membership, Client must send an e-mail to [email protected] with the subject line MEMBERSHIP CANCELATION, including the Client's name, email address, and confirmation of request to terminate his or her membership. Client will be notified upon DDC's receipt of email, and his or her membership will subsequently be canceled prior to the following billing period, assuming it is more than 24 hours away.
    • As outlined above, if Client cancels his or her membership less than 24 hours before the automatic renewal is scheduled to charge Client's card, Client acknowledges and agrees he or she will be charged for the next month, and the cancellation will take effect following this. Should this occur, Client will have access to The Deal Dynamics Elite Membership for the month in which Client paid, with membership terminating at the end of the last paid month.
  • If Client purchased access to The Deal Dynamics Elite Membership during a period in which a free months, or trial period was granted, Client understands he or she will be automatically charged the full annual amount following the end of the trial period. Client will not be given any additional notice regarding the end of the trial period, By checking the box on the purchase page confirming your agreement to these Terms, you also confirm you are given your unequivocal, clear, affirmative consent to your agreement with these automatic renewal terms, the cancelation policy, and that you understand how to cancel before your card is charged for the following month.
  • BILLING ADDRESS: Client agrees to keep its billing address updated within Client's Deal Dynamics Elite Membership account, and understands DDC will use this address to determine Client's state of residence and applicable laws that may apply to Client based upon his/her/their state of residence. Any failure by Client to keep such address updated may impact DDC's ability to provide Client with accurate billing updates and notices. Client understands this, and to the fullest extent permitted by law, acknowledges that it will be Client's responsibility to notify DDC of any changes to his/her/their billing address, and represents that the billing address listed within Membership shall be the most updated and accurate address for Client, and the state of residency for Client. To the extent Client's physical residency is different from his/her/their billing address, Client confirms he/she/they will notify DDC of same, to ensure DDC always has Client’s most current address.
7. REFUND POLICY

DDC wholly believes in its product. It believes the Playbooks work, but only if the Client is dedicated to the process. Nevertheless, DDC offers a Conditional 30-Day Money-Back Guarantee (the Guarantee) for first-time purchasers of the Program if Client has completed the work to date, and does not believe the Program is suitable for Client, minus a five hundred dollar ($500) cancellation fee.

To request consideration for the Guarantee, Client must contact DDC at [email protected] prior to 11:59 pm PST on the thirtieth day after Client purchased the Deal Dynamics Elite Membership. Following this thirty (30) day window, all sales will be considered final, and DDC will not issue refunds for any reason.

In this email, Client must provide (1) the email address he/she used to purchase, and (2) copies of all completed work and proof of implementation inside their business (3) proof of attendance on the 2 live coaching calls (or Loom recording of you watching the replay) (4) proof of attendance of 2 group calls and (5) have completed 1 one-on-one coaching session to demonstrate you gave the Membership a good faith effort.

Any and all requests for consideration of the Guarantee will be decided by the DDC team and within DDC’s sole and exclusive discretion. The intention of the Guarantee is to allow Client to give a good faith effort to apply the Playbook to their business. If Client simply logs in, downloads materials, and promptly asks for a refund, DDC reserves the right to deny it without further consideration.

 

If a refund is granted, Client can expect reimbursement thirty (30) days after cancellation of Membership in the same manner in which payment was made, minus the five hundred dollar ($500) cancellation fee. If a refund is not granted, Client understands he/she remains financially responsible for payment in full of Membership, and as long as Client has received the Membership curriculum appropriate to their purchase, Client has no further recourse regarding refunds. Client understands he/she will forfeit any and all access to Membership and benefits if a refund is issued.

8. ONE-ON-ONE COACHING UPSELL TERMS
  • Additional 1:1 Coaching Sessions: Clients may opt for 1:1 coaching sessions alongside their participation in the Deal Dynamics Elite Membership. This upsell provides four (4) 45-minute sessions within the annual period, focusing on accountability, strategy implementation, and enhancing business outcomes. Any one-on-one coaching sessions would be offered at a twenty percent (20%) discount from current membership pricing which is subject to change at any time.
  • Scheduling and Cancellation: Clients are responsible for scheduling their sessions within the annual period using the provided scheduling link. Failure to schedule within this timeframe results in forfeiture of remaining sessions. Sessions canceled with less than 24 hours' notice are forfeited and will not be rescheduled.
  • Payment and Refund Policy: The fee for the additional coaching sessions is $2,000, payable before the sessions begin. Clients may request a refund after the first session, subject to a $500 cancellation fee. Refund requests must be submitted within 24 hours after the first session. Beyond this point, no refunds will be issued. Prices can change at any time.



9. SPECIFIED GROUP CALL UPSELL TERMS
  • The Deal Dynamics Elite Membership comes with twelve (12) specified group calls to be used by Client at any time during the annual membership.
  • Additional Specified Group Calls: Clients may opt for additional Specified Group Calls alongside their participation in the Deal Dynamics Elite Membership. Any additional Specified Group calls would be offered at a ten percent (10%) discount from current membership pricing which is subject to change at any time.
  • Scheduling and Cancellation: Clients are responsible for scheduling their sessions within the annual period using the provided scheduling link. Failure to schedule within this timeframe results in forfeiture of remaining sessions. Sessions canceled with less than 24 hours' notice are forfeited and will not be rescheduled.

 

10. TECHNOLOGY
  • DDC is not responsible for any specific technology you may need in order to adequately view and utilize The Deal Dynamics Elite Membership.
  • Client's inability to access The Deal Dynamics Elite Membership due to a technology issue on Client's end does not qualify Client for a refund, nor does it alleviate Client of his or her responsibility to make annual payments, unless or until Client's membership is properly canceled in accordance with the cancelation policy in paragraph five (5).
  • DDC discourages sharing membership accounts, and encourages every individual to purchase their own Deal Dynamics Membership account. However, if business partners decide to share an account, only one individual will be granted access and emails will be sent to one email address only.
11. VOLUNTARY PARTICIPATION
  • Client understands and agrees that he/she is voluntarily choosing to sign up for The Deal Dynamics Elite Membership and is solely responsible for any outcomes or results. While DDC believes in the services and that The Deal Dynamics Elite Membership is able to help many business owners and entrepreneurs, Client acknowledges and agrees that DDC is not responsible nor liable to Client should Client sustain any injuries, incur harm, or encounter any negative ramifications. Client agrees that he/she is fully responsible for his/her health, wealth and well- being, including participation in The Deal Dynamic Elite Membership and any results therein.
  • Client also understands she will have the opportunity to provide DDC with additional personal information, viewable to all The Deal Dynamic Membership members, including but not limited to location, industry, and other information. All information is completely voluntary and optional to complete, and Client does not gain or lose anything in The Deal Dynamic Membership for choosing to complete or not complete the additional information. Client understands this information will only be viewable to others inside the The Deal Dynamics Membership, and understands that should he/she elect to complete the information, he/she is doing so completely voluntarily, and that The Deal Dynamic Membership and DDC are not responsible for any negative results from such information dissemination.



12. DISCLAIMER /NO GUARANTEES

 

  • While many of DDC's past and current clients have experienced wonderful benefits from the content contained in The Deal Dynamics Membership, DDC cannot guarantee results from any of the content on The Deal Dynamics Membership, and cannot make any representations or guarantees regarding individual results. Client will hold DDC harmless if he or she does not experience the desired results.
  • Client understands that all services provided by The Deal Dynamics Elite Membership and DDC in connection with The Deal Dynamics Elite Membership being purchased are provided on an "as is" basis, meaning it is without any guarantees, representations, or warranties, including but not limited to warranties relating to quality, non-infringement, success for a particular purpose, merchantability, or expectation or course of performance. Client is choosing to purchase access to The Deal Dynamics Elite Membership and work with DDC on a purely voluntary basis and does not hold DDC or The Deal Dynamics Elite Membership responsible should Client become dissatisfied with any portion of The Deal Dynamics Elite Membership.
  • Client agrees that he/she does not have a cause of action, legal remedy, and is not entitled to a refund should he/she not achieve the results desired following completion of The Deal Dynamics Elite Membership, as long as DDC delivers The Deal Dynamics Elite Membership as described in the Addendum below.
  • Client also agrees to hold DDC harmless should any physical, emotional, or financial injury occur as a direct or indirect result of The Deal Dynamics Elite Membership. The content provided by DDC on its website and within The Deal Dynamics Elite Membership is information that has worked for DDC Founders and other clients, and may or may not be useful to Client in his/her personal business or life. Client understands DDC cannot guarantee results from this The Deal Dynamics Elite Membership, and has no expectation of a specific result that he or she holds DDC responsible for.
  • Earnings Disclaimer: DDC also does not make any guarantees or assurances regarding a particular financial outcome based on use of The Deal Dynamics Elite Membership, nor is DDC responsible for Client earnings, or any increase or decrease in finances based upon information within The Deal Dynamics Elite Membership. Any information or testimonials regarding past or current clients' participation in playbooks, or working with DDC contained on Website or in sales material that contain financial information are individual, and results may vary.
  • Not Legal or Professional Advice: The purpose and goal of The Deal Dynamics Elite Membership is to provide Client with monthly education and assistance. The Deal Dynamics Elite Membership and content contained within The Deal Dynamics Elite Membership is not to be considered personalized business, medical, legal, or financial advice, and nothing within The Deal Dynamics Elite Membership is intended to provide or act as a substitute for a Lawyer, CPA, or Broker. DDC encourages Client to consult the relevant professional needed if he/she suspects he/she may benefit from such services. We will assume that all individuals choosing to purchase access to The Deal Dynamics Elite Membership will have done any additional research necessary and has concluded that The Deal Dynamics Elite Membership offered is right for them.
13. GUEST EXPERT MATERIAL

DDC Membership options will include various modules, trainings, bonuses, and other education and information from those other than DDC, including but not limited to other industry leaders, experts, and professionals. All information, resources, training, education, modules, and other opinions provided by guest experts will be solely their own, based upon their education and experience, and are not necessarily a reflection of the opinions of DDC. Client agrees to indemnify and hold DDC harmless from any and all claims relating to material or information provided by a guest expert - any issues Client may have with a guest expert must be taken up with the guest expert directly.

 

14.   DDC’s "RECOMMENDATION" SECTION
  • Within The Deal Dynamics Elite Membership, Clients have or will have in the future access to a "Recommendations" page that includes offerings, deals, and coupon codes for some of DDC's favorite banks, brokers, companies or brands. Client understands that DDC is not responsible nor liable should Client elect to utilize any products or services within the "Recommendation" section of The Deal Dynamics Elite Membership, and any such decision to do so is wholly voluntary and outside the scope of The Deal Dynamics Elite Membership. The Recommendation section is no more than a recommendations list of businesses, products and services DDC likes and/or uses, which may or may not be useful to members of The Deal Dynamics Elite Membership.
  • If DDC has any material relationship with any products, services, or companies (including but not limited to affiliate relationships allowing DDC to collect a commission for any products or services purchased through these links), such material relationship will be disclosed on or near the link to each Company, identifying it as an "affiliate" link. Those marked with "affiliate link" notations means DDC is an affiliate of this company, and will receive financial compensation should Client elect to purchase the product or services offered.
15. INTELLECTUAL PROPERTY
  • Client agrees and understands that DDC has created numerous original, creative works in connection with The Deal Dynamics Elite Membership, and agrees that DDC maintains all copyrights and other intellectual property rights in all original or derivative content associated with or included in The Deal Dynamics Membership, whether created prior to working with Client or specifically for Client, including but not limited to: documents, charts, emails, graphs, products, systems, processes, handouts, worksheets, playbooks, copy for website or sales pages, and any other original work created by DDC. Client agrees she may be granted a limited right to use selected materials in the course of his or her own business but understands that the original proprietary rights remain with DDC. Nothing in this Agreement shall constitute a transfer of ownership of any Intellectual Property from DDC to Client, nor grant any license to use the information, other than that which is expressly provided throughout the course of The Deal Dynamics Elite Membership.
  • Client agrees and understands he/she is not to copy, repost, alter, publish, sell, assist others in selling, manipulate, distribute, or in any way exploit any of the content or intellectual property provided by DDC or obtained through working with DDC, without DDC's express written consent. If such behavior is discovered or suspected, DDC reserves the right to immediately end Client's participation in The Deal Dynamics Elite Membership without refund, as well as access to any The Deal Dynamics Elite Membership or materials Client may have purchased, without refund, and reserve the right to prosecute any actionable infringement or misuse to the full extent of the law.
  • Licensee Rights: DDC's Limited License to Client: Client understands that in purchasing The Deal Dynamics Elite Membership, she/he is gaining access to view all content and information available as part of The Deal Dynamics Elite Membership. Client understands this means he/she will have been granted a limited, revocable, non-transferable license to use the information provided as instructed or allowed by DDC. As a "Licensee," Client understands and agrees that Client will not:
    • Copy, edit, distribute, duplicate or steal any information or any Content obtained through The Deal Dynamics Elite Membership without written permission by DDC;
    • Post, distribute, copy, steal or otherwise use any portion of the The Deal Dynamics Elite Membership or its content, or information obtained via other members in the group The Deal Dynamics Elite Membership without written permission by DDC, and understand that any such use may constitute infringement, which may give rise to a cause of action against Client
    • Claim any content created by DDC as part of The Deal Dynamics Elite Membership or otherwise given to Client is his/her own, meaning he/she cannot claim any content created by DDC was Client's work, and use in his/her business as his/her own.
    • Share purchased materials, information, content with others who have not purchased them
    • Client further acknowledges and understands that any such actions including but not limited to those outlined above will likely constitute infringement and/or theft of our work, and a violation of this Agreement and United States Federal laws.
16. INDEMNIFICATION

Client agrees at all times to defend, fully indemnify and hold DDC and any affiliates, agents, professional speakers, team members or other party associated with DDC harmless from any causes of action, damages, losses, costs, expenses incurred as a result of Client's use of The Deal Dynamics Elite Membership, as well as any third-party claims of any kind (including attorney's fees) arising from his/her actions as a direct or indirect result of Client's participation in The Deal Dynamics Elite Membership. Should DDC be required to defend itself in any action directly or indirectly involving Client, or an action where we decide Client's participation or assistance would benefit DDC's defense, Client agrees to participate and provide any evidence, documents, testimony, or other information deemed useful by DDC, free of charge

 

17. DISPUTE RESOLUTION
  • Should a dispute arise between DDC and Client, the parties agree to attempt to resolve by good-faith negotiations and discussions. (Client agrees that failure to see results is not a basis for a "dispute" and agrees he or she does not hold DDC responsible for any specific results, or those results which have been achieved by other clients of DDC.)
  • If unable to reach a resolution informally, Client and DDC agree that all disputes will be submitted for Arbitration in accordance with the Texas Arbitration Act (TAA), to be completed in Dallas, Texas within a reasonable amount of time. Client and DDC agree to participate in the arbitration process in good faith and in a manner that will effectively and efficiently resolve the dispute at hand, including the exchange of any materials, documents, or information. The decision made by the arbitrator is to be final and binding on both parties, and is not to be appealed or otherwise set aside. It is to be enforceable in any court of proper jurisdiction as a judgement of law or decree.
18. APPLICABLE LAW

This Agreement shall be governed by and under control of the laws of Texas regardless of conflict of law principles, and regardless of location of Client. Client understands this and agrees that the laws of Texas are to be applicable here.

 

19. AMENDMENTS

This agreement may be amended or modified from time to time, as The Deal Dynamics Elite Membership is updated, laws or regulations change, or as desired by DDC. Client understands and agrees that he/she will abide by the most recent version of these Terms and Conditions of Use, and will check back periodically as needed. Should DDC make any large changes to these Terms and Conditions of Use, you as the Client will be notified, and given an opportunity to cancel your membership should you refuse to agree to the updated Terms and Conditions. Otherwise, your continued membership in The Deal Dynamics Elite Membership will serve as confirmation of your agreement to the updated terms.

20. AUTHORIZATION + RELEASE

By participating in the Membership, you acknowledge that your involvement may be recorded in various forms such as audio, video, or images. You grant DDC and its representatives the right to use these recordings worldwide and indefinitely for promotional purposes, without any further compensation to you. This includes the right to modify the recordings as deemed necessary.

You confirm that any statements or endorsements you make are truthful and represent your genuine opinions and experiences. You waive any rights to review or approve the recordings and release DDC from any liability arising from their use.

You affirm that you are at least eighteen years old and legally competent to enter into this agreement. This release applies to you, your heirs, and assigns. By agreeing to these terms, you acknowledge that your participation is voluntary and that you are solely responsible for your actions.

 THE DEAL DYNAMICS MASTER MEMBERSHIP OUTLINE ADDENDUM

Client understands, acknowledges, and agrees he/she is purchasing an annual subscription to The Deal Dynamics Elite Membership. While the below is subject to change, at the time of purchase, The Deal Dynamics Elite Membership includes access to the following:

  • The Deal Dynamics Pro Membership, including all content and resources that have been created for the Pro Membership Library
  • Full Access to the Master Library
  • One (1) Master Class Webinar every thirty days
  • A minimum of two (2) Live Calls a month, some months will have more. If you can not participate Live they will be recorded and available at all times after.
  • Access to an exclusive online community only for The Deal Dynamics Membership members
  • 24 Specified Topic Group Calls to be used at any time within your annual membership. If they are not used within the annual membership period, they will only continue to be good if annual membership is renewed.
  • 4, 45 minute one-on one coaching sessions to be used at any time within the annual membership
  • Access to purchase additional Specified Group Topic calls and One-on-One Coaching with a twenty percent (20%) discount

 

If at any time Client is found to be disruptive, making disparaging or defamatory comments about The Deal Dynamic Membership, DDC, Scott Hartman or Tiffany Tavernier, or otherwise negatively impacting The Membership for others and hindering or distracting other Clients from their own success, DDC reserves the right to remove such Client, without refund. Client understands this, and knows this is a risk if he/she elects to act in such an inappropriate manner. Client agrees this is a suitable remedy and action should he/she act in any of the ways outlined above.
